TASC AI Translator Terms of Use

A. These Terms of Use ("Terms") govern your access to and use of the TASC AI Translator platform at tasctranslate.ai (the "Service/ Software/ Platform"), which is provided by TASC ("we," "us").

B. By accessing or using the Service, you fully agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the necessary authority to bind that organization to these Terms.

C. If a separate Master Services Agreement ("MSA") is executed between the parties, the MSA shall prevail in the event of any conflict with these Terms.

D. Order Forms and commercial terms executed with TASC Labour Services LLC supplement these Terms.

1. License Grant

1.1 Limited License

Subject to these Terms, TASC grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Software/Platform solely for your internal business purposes.

1.2 No Ownership Transfer

These Terms grants only a license to use the Software/Platform as described above. Title, ownership, and all intellectual property rights in the Software/Platform remain exclusively with TASC.

1.3 Scope of Use

Each license purchased is for one (1) named user. If you purchase multiple licenses (or seats), each license may be assigned to a separate named user in accordance with your Order Form.

1.4 Third-Party Models

This license does not grant rights to any third-party AI models, OCR engines, APIs, or open-source components used within the Software/Platform, unless otherwise licensed by such third parties.

2. License Restrictions

You shall not, directly or indirectly:

(a) copy, reproduce, distribute, or publish the Software/Platform except as expressly permitted;

(b) rent, lease, sublicense, assign, transfer, host, disclose, or otherwise make the Software/Platform available to third parties;

(c) modify, adapt, translate, alter, reverse engineer, decompile, disassemble, or attempt to derive source code;

(d) remove, obscure, or alter any proprietary notices or branding;

(e) use the Software/Platform in violation of applicable laws, export regulations, or third-party rights;

(f) use the Software/Platform for purposes other than those expressly permitted under these Terms;

(g) use the Software/Platform to build, benchmark, train, or improve a competing product or service;

(h) provide, divulge, disclose, or make the Software/Platform available to, or permit use by, any third party other than authorized personnel of the Customer as approved by TASC;

(i) bypass or disable any protections put in place by TASC against unlicensed use of or access to the Software/Platform;

(j) share or provide information or demonstrations to entities having a business similar to that of TASC;

(k) pledge, loan, mortgage, or dispose of the Software/Platform, or permit any liens to be placed on it; or

(l) use, transfer, transmit, export, or re-export the Software/Platform or any portion thereof in violation of any applicable export control laws or regulations.

3. Intellectual Property

3.1 The Software/Platform and all intellectual property rights therein are and shall remain the exclusive property of TASC.

3.2 No rights or licenses are granted except those expressly provided in these Terms.

3.3 You shall not claim any rights, interest, or ownership in TASC's technology, AI models, translation engines, OCR pipelines, algorithms, datasets, workflows, or system architectures.

3.4 This includes all AI-generated translations, confidence scores, quality metrics, prompt structures, glossaries, document processing logic, and fine-tuning pipelines.

4. Termination

4.1 This terms and conditions are effective from the date of first access and continuing until terminated in accordance with these Term.

4.2 TASC may terminate these Terms or usage of the Software/Platform with thirty (30) days' notice, or immediately in the event of breach, misuse, fraud, security risk, or regulatory demand, without liability. TASC also reserves the right to suspend or terminate the usage if the Software/Platform if the Customer fails to make payment for the subscription to the Software/Platform in accordance with the agreed payment terms.

4.3 Upon termination, you must immediately: (a) cease all access to and use of the Software/Platform; (b) delete, uninstall, and destroy all copies; and (c) certify such destruction upon request.

4.4 Sections relating to Intellectual Property, Confidentiality, Warranty Disclaimer, Limitation of Liability, Governing Law, and Miscellaneous shall survive termination.

4.5 No refunds shall be payable upon termination, and all outstanding fees shall immediately become due and payable.

5. Updates & Modifications

5.1 TASC may provide updates, enhancements, or modifications to the Software/Platform from time to time.

5.2 Updates replace prior versions; continued use of older versions is not permitted.

5.3 TASC reserves the right to modify, enhance, suspend, or discontinue any aspect of the Software/Platform at its sole discretion. TASC shall use commercially reasonable efforts to provide prior notice of any material changes that adversely affect the Customer's use of the Software/Platform. Continued use of the Software/Platform following such changes shall constitute acceptance of the updated terms.

5.4 Material pricing or functionality changes will be communicated where reasonably practicable.

6. Audit & Compliance

6.1 TASC reserves the right, upon reasonable notice, to audit your use of the Software/Platform for compliance.

6.2 Audits will be conducted during normal business hours with reasonable prior notice. Audits may be in – person or in online mode. Audits may be conducted by third parties on behalf of TASC.

6.3 You shall cooperate fully and provide records, logs, and certifications of compliance upon request and provide access to relevant data as may be required by TASC.

7. Data & Privacy

7.1 The Software/Platform processes uploaded documents, extracted text, translations, metadata, and system data ("Data") solely to provide the Service.

7.2 All Data uploaded by the Customer remains the sole property of the Customer. TASC acquires no ownership rights in Customer Data.

7.3 Data is processed in accordance with applicable data protection laws.

7.4 The Customer shall act as the Data Controller and TASC shall act as the Data Processor solely for the limited purpose of providing the Software/Platform in accordance with these Terms.

7.5 To the extent that TASC processes any personal data on behalf of the Customer, such processing shall be strictly limited to what is necessary for the provision, maintenance, and improvement of the Software/Platform. Any processing of personal data is incidental to the provision of the services. TASC shall not be responsible for determining the nature, scope, or legality of personal data uploaded by the Customer.

7.6 TASC shall not access, use, or process personal data for any purpose other than to provide the services under these Terms, and shall not sell, disclose, or otherwise exploit personal data for commercial purposes.

7.7 The Customer shall be solely responsible for:

(a) ensuring that it has all necessary rights, consents, and legal bases to upload and process personal data through the Software/Platform;

(b) ensuring that such data does not violate any applicable law or third-party rights; and

(c) implementing appropriate internal safeguards for sensitive or regulated data.

7.8 TASC shall implement commercially reasonable technical and organizational measures to protect Personal Data against unauthorized access, disclosure, or loss, having regard to the nature of the Software/Platform.

7.9 Notwithstanding anything to the contrary, TASC shall not be liable for any claim, loss, or damage arising from: (a) the Customer's data inputs; (b) the nature or legality of personal data uploaded; or (c) the Customer's failure to comply with applicable data protection laws.

7.10 TASC may use anonymized and aggregated data derived from Customer usage for analytics, benchmarking, service improvement, and product development, provided that such data does not identify the Customer or any individual.

8. Confidentiality

8.1 The Software/Platform, documentation, and all related information and materials, including source code, user interface, and intellectual property, are confidential to TASC.

8.2 You shall not disclose or permit access to such confidential information without TASC's prior written consent.

8.3 This obligation survives termination of these Terms.

9. Security Obligations

9.1 You shall:

(a) implement and maintain safeguards, access controls, and security policies to prevent unauthorized access;

(b) notify TASC immediately upon suspecting unauthorized use or a security breach; and

(c) not bypass any security or license controls.

9.2 TASC shall implement and maintain commercially reasonable administrative, technical, and organizational security measures designed to protect the Software/Platform and associated data. The Customer acknowledges that no system is completely secure, and TASC shall not be liable for any unauthorized access, data breach, or loss except to the extent directly caused by TASC's willful misconduct.

10. Support & Services

10.1 Purchase of a license does not entitle you to support, maintenance, or service levels unless expressly agreed in writing.

10.2 TASC may, at its sole discretion, provide assistance but assumes no obligation to do so.

11. Warranty Disclaimer

11.1 The Software/Platform is provided strictly "AS IS" and "AS AVAILABLE."

11.2 TASC makes no representations, warranties, or guarantees of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy or completeness of outputs, error-free or uninterrupted operation, security, non-infringement, or regulatory compliance.

11.3 AI-generated translations, OCR outputs, formatting, and quality metrics may be inaccurate, incomplete, biased, or misleading.

11.4 You are solely responsible for reviewing, validating, and approving all outputs.

11.5 Nothing in these Terms shall create any warranty, obligation, or liability not expressly stated herein.

11.6 The Software/Platform may incorporate or rely upon third-party services, models, or infrastructure. TASC makes no representations or warranties regarding the availability, performance, accuracy, or reliability of any third-party services and disclaims all liability arising from their use.

11.7 TASC represents that it has the legal right and authority to provide the Software/Platform under these Terms. Except as expressly stated herein, no other warranties or representations are provided.

12. Limitation of Liability

12.1 To the maximum extent permitted by applicable law, TASC shall have no liability whatsoever for any damages, claims, losses, liabilities, costs, or expenses arising out of or in connection with the Software/Platform, these Terms, or the use of or inability to use the Software/Platform, including but not limited to:

(a) security breaches, unauthorized access, credential compromise, hacking, malware, data loss, corruption, disclosure, or destruction;

(b) inaccurate, incomplete, harmful, misleading, offensive, biased, or otherwise unsuitable outputs, including translations, OCR results, quality scores, confidence indicators, formatting, or annotations;

(c) reliance on outputs for legal, regulatory, contractual, financial, or operational purposes;

(d) business interruption, loss of business, loss of goodwill, reputational harm, regulatory action, fines, penalties, or third-party claims; or

(e) any direct, indirect, incidental, consequential, exemplary, punitive, or special damages, including loss of profits, revenue, data, or anticipated savings, whether foreseeable or not.

12.2 This exclusion and limitation of liability applies regardless of the cause of action, including negligence, gross negligence, willful misconduct, fraud, breach of statutory duty, or strict liability.

12.3 To the extent that a competent court determines that any liability cannot be lawfully excluded or limited, the total aggregate liability of TASC, whether in contract, tort, or otherwise, shall be strictly limited to the fees actually paid by the Customer for the relevant license(s) in the three (3) months immediately preceding the event giving rise to the claim. TASC excludes all liability for services, models, outputs, or failures of third-party providers (including AI translation engines, OCR processors, cloud hosting, and analytics tools) over which TASC has no control. The Customer releases TASC from claims arising from third-party acts, errors, breaches, downtime, or intellectual property infringement, and agrees to indemnify TASC against such claims.

12.4 The parties acknowledge that the pricing and risk allocation under these Terms reflect this limitation of liability, and that TASC would not have entered into these Terms without such limitations.

13. Export & Geographic Restrictions

13.1 You must comply with all applicable export, re-export, and import laws.

13.2 It is the Customer's responsibility to ensure that local use of the Software/Platform complies with all applicable jurisdictional laws and regulations.

14. Force Majeure

TASC shall not be liable for any delay or failure in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war or warlike situations, government acts or directions, cyberattacks, pandemics, changes in law, terrorism, or similar disruptions.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.

16. Miscellaneous

16.1 Amendments. TASC may amend these Terms at any time by posting updated terms. Continued use of the Software/Platform following such posting constitutes acceptance.

16.2 Severability. If any provision is found invalid or unenforceable, the remainder of these Terms continues in full force and effect.

16.3 Assignment. You may not assign these Terms without TASC's prior written consent. TASC may assign these Terms without restriction.

16.4. Third-Party Rights. No third party has any rights under these Terms.

16.5 Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.6 Notices. All notices under these Terms must be in writing and delivered by email, registered post, or courier to the addresses provided in the Order Form or registered email addresses. Email notices are deemed received 24 hours after sending to the primary contact email. Notices to TASC shall be sent to: TASC Labour Services LLC, #2403, 24th Floor, Nassima Tower, Sheikh Zayed Road, P.O. Box 117495, Dubai, UAE. Either party may update its notice address by written notice to the other.

17. AI-Generated Output Disclaimer

17.1 All translations, OCR outputs, quality scores, annotations, and other results generated by the Software/Platform ("Outputs") are produced using artificial intelligence and machine learning models.

17.2 Outputs are probabilistic and non-deterministic and may contain inaccuracies, omissions, mistranslations, bias, contextual errors, or unintended content. You agree that all Outputs will be cross-referenced and verified by you before being used in any business-critical or final decision-making process.

17.3 TASC makes no representations or warranties regarding the accuracy, completeness, reliability, legality, or suitability of any Outputs for any purpose.

17.4 Outputs do not constitute legal, regulatory, financial, or professional advice and must not be relied upon as a sole source of truth.

17.5 TASC shall have no liability for any decisions, actions, or outcomes based on or derived from Outputs.

18. Accuracy Scores & Quality Metrics

18.1 Any accuracy scores, confidence levels, or quality indicators provided by the Software/Platform are indicative only and are provided for informational purposes.

18.2 Such metrics do not constitute validation, certification, approval, or a guarantee of correctness or fitness for use.

18.3 TASC disclaims all liability arising from reliance on accuracy scores or quality metrics.

19. Human-in-the-Loop Services

19.1 Any human review, post-editing, or validation services provided by TASC are assistive only and do not constitute professional or certified services. Human-in-the-loop services do not form part of the standard package and must be separately procured at the applicable additional fee.

19.2 Final responsibility for reviewing, approving, and using Outputs remains solely with the Customer.

19.3 Use, export, or acceptance of Outputs constitutes the Customer's acceptance of those Outputs, and TASC bears no liability thereafter.

19.4 You are at all times required to verify Outputs before use. TASC shall not be responsible for any inconsistency, incorrectness, or inaccuracy in the Outputs.

20. OCR & Formatting Disclaimer

20.1 OCR, layout preservation, and formatting are provided on a best-efforts basis and may vary based on document quality and structure.

20.2 Formatting deviations, missing text, or structural inconsistencies may occur.

20.3 TASC shall have no liability for any losses or damages arising from OCR or formatting inaccuracies.

Acceptance

By accessing, browsing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including any updates posted from time to time. No physical or electronic signature is required. Your use of the Service constitutes your legally binding acceptance of these Terms.
